PROVIDER AGREEMENT

This Provider Agreement ("Agreement") is entered into by and between Booka Crew LLC, a Montana limited liability company ("Booka Crew," "Company," "we," "our," or "us"), and the individual or business entity registering to provide services through the Booka Crew platform ("Provider," "you," or "your"). This Agreement governs your participation as a Provider on the platform and is incorporated into and supplements the Terms of Service and Privacy Policy. By registering, accessing, or using the platform as a Provider, you acknowledge that you have read, understood, and agree to be bound by this Agreement and all incorporated policies.


1. Independent Contractor and Business Relationship

1.1 Provider operates as an independent business and not as an employee, agent, partner, joint venturer, franchisee, or representative of Booka Crew. Nothing in this Agreement shall be interpreted as creating any employment, partnership, joint venture, or agency relationship, and Provider expressly disclaims any entitlement to employee status or employment-related protections.

1.2 Provider retains full and exclusive control over the manner, method, means, scheduling, tools, equipment, materials, transportation, personnel, and performance of services. Booka Crew does not direct, supervise, control, or train Provider in how services are performed and does not establish work schedules, operational procedures, or job execution requirements.

1.3 Provider acknowledges that participation on the platform does not create an expectation of work, income, or continued access, and Provider remains free to operate independently, offer services outside the platform, and conduct business through other channels without restriction.

1.4 Provider is solely responsible for all business operations, including business registration, licensing, taxes, workforce management, equipment, and compliance with applicable laws. Provider shall bear all financial and operational risk associated with its business.


2. Provider Responsibilities and Legal Compliance

2.1 Provider shall perform all services in a lawful, safe, and professional manner and shall be solely responsible for the quality, safety, legality, and outcome of all services performed. Provider assumes full responsibility for any damages, losses, injuries, claims, disputes, or liabilities arising from services performed.

2.2 Provider shall comply with all applicable local, state, and federal laws and regulations, including licensing, business operation, labor, tax, consumer protection, and safety laws. Provider is solely responsible for obtaining and maintaining any licenses, permits, registrations, or certifications required for its services.

2.3 Provider shall be solely responsible for any employees, subcontractors, assistants, or workers engaged by Provider and shall assume full responsibility for wages, payroll taxes, benefits, worker classification, employment compliance, and workplace safety. Booka Crew is not an employer and assumes no responsibility for Provider personnel.

2.4 Provider shall be solely responsible for all tax obligations arising from services performed and platform earnings and shall not rely on Booka Crew for tax withholding, reporting, or financial guidance except where required by law.


3. Safety, Misconduct, and Risk Control

3.1 Provider shall conduct all services in a manner that protects the safety of customers, workers, the public, and property. Provider assumes full responsibility for worksite safety, hazard prevention, compliance with applicable safety standards, and avoidance of unsafe practices.

3.2 Provider shall not engage in unlawful, fraudulent, abusive, violent, deceptive, unsafe, or harmful conduct. Prohibited conduct includes but is not limited to harassment, threats, unsafe service performance, illegal activity, theft, fraud, misrepresentation, severe negligence, or conduct posing risk to individuals or the public.

3.3 Provider shall promptly report to Booka Crew any serious safety incident, injury, material property damage, criminal allegation, or significant dispute arising from services performed through the platform.

3.4 Booka Crew reserves the right, in its sole discretion, to investigate safety complaints, misconduct, fraud, or risk-related incidents and may suspend, restrict, or permanently remove Provider access where reasonably necessary to protect users, the public, or platform integrity. Such actions shall not create employment, control, or supervisory relationship and are solely for platform protection and enforcement.


4. Insurance and Risk Allocation

4.1 Provider shall maintain any insurance required by applicable law and any insurance reasonably necessary for the nature of services performed, including general liability coverage where applicable. Provider assumes full responsibility for any uninsured losses, claims, or liabilities.

4.2 Booka Crew may request proof of insurance at any time, and failure to provide satisfactory proof may result in suspension or removal from the platform.

4.3 Booka Crew does not guarantee, verify, warrant, or assume responsibility for the adequacy, validity, scope, or sufficiency of Provider insurance coverage and shall not be liable for any claim related to Provider insurance.


5. Payments and Financial Responsibility

5.1 Payments are processed through third-party payment processors. Booka Crew does not guarantee Provider earnings, payment success, or financial outcomes and is not a bank, escrow agent, fiduciary, or financial guarantor.

5.2 Provider shall be solely responsible for any negative balances arising from refunds, reversals, disputes, or chargebacks and agrees to reimburse or resolve such balances promptly.

5.3 Provider shall bear full responsibility for financial obligations related to services, including refunds, damages, penalties, or legal liabilities arising from Provider conduct or service performance.


6. Liability and Indemnification

6.1 Provider assumes full legal and financial responsibility for all services performed and for any damages, injuries, losses, claims, disputes, regulatory violations, or liabilities arising from Provider conduct, services, workforce, or legal noncompliance.

6.2 To the fullest extent permitted by law, Provider agrees to defend, indemnify, and hold harmless Booka Crew LLC and its owners, officers, employees, contractors, affiliates, partners, and agents from and against any and all claims, liabilities, damages, losses, fines, penalties, costs, or expenses, including reasonable attorneys' fees, arising out of or related to Provider services, negligence, misconduct, workforce claims, safety incidents, injuries, property damage, regulatory violations, disputes with customers or third parties, or any breach of this Agreement.

6.3 Provider acknowledges that Booka Crew is a technology marketplace only and does not perform services, supervise work, or control Provider operations and shall not be liable for service outcomes or Provider conduct.


7. Platform Standards and Enforcement

7.1 Provider agrees to comply with all platform rules, policies, and service standards. Booka Crew may review complaints, safety concerns, misconduct, or fraud and may suspend, restrict, or remove Provider access to protect platform integrity and user safety.

7.2 Enforcement of platform rules shall not create any employment, supervisory, or control relationship and shall be deemed solely protective and administrative in nature.


8. No Guarantee of Work or Income

Provider acknowledges that Booka Crew does not guarantee job availability, customer volume, income, profitability, or continued access to the platform.


9. Termination

Booka Crew may suspend or terminate Provider access at any time for violations, fraud, legal risk, or safety concerns. All liability, indemnification, and financial obligations shall survive termination.


10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Montana, consistent with the Terms of Service.


11. Acceptance

By registering as a Provider or using the platform in a provider capacity, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
